IRONOVA FACILITY SERVICES LLC

WEBSITE TERMS AND CONDITIONS

Last Updated: July 6, 2026

These Website Terms and Conditions ("Terms") apply to your use of the website operated by IRONOVA Facility Services LLC ("IRONOVA," "Company," "we," "our," or "us"), including www.ironovafs.com and any pages, forms, links, or online content connected to that website (the "Website").

By accessing or using the Website, submitting a form, requesting information, or communicating with us through the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. Website Information Only

The Website is provided for general business information, marketing, service-area information, and contact purposes. The Website does not create a customer relationship, service agreement, purchase order, subcontract, employment relationship, partnership, agency relationship, or binding obligation unless IRONOVA separately agrees in a written agreement, written proposal acceptance, written work order, or other signed or confirmed business document.

Information on the Website may describe services generally, but it is not a guarantee that every service is available at every location, on every schedule, or under every site condition.

2. No Automatic Contract or Guaranteed Service

Submitting a Request a Quote form, Contact form, Careers form, vendor form, email, voicemail, text message, or other inquiry does not require IRONOVA to provide service, accept a job, hire an applicant, approve a vendor, visit a property, or provide a proposal.

Any quote, price range, budgetary number, response, or discussion provided before a written agreement is for evaluation purposes only unless IRONOVA clearly states otherwise in writing. Final pricing, scope, schedule, staffing, supplies, consumables, insurance requirements, and service terms must be confirmed in writing.

3. Services Described on the Website

IRONOVA is a commercial cleaning and facility services company. The Website may describe services such as janitorial cleaning, restroom cleaning, day porter services, floor care, carpet cleaning, pressure washing, warehouse and industrial cleaning, medical office cleaning, residential turnover cleaning, post-construction cleaning, and restroom consumables keep-stock support.

IRONOVA is not representing itself as a licensed trade contractor, general contractor, engineering firm, pest control operator, environmental remediation contractor, medical provider, hazardous waste contractor, or emergency response company unless a specific written agreement says otherwise and the required licenses, insurance, and legal requirements are satisfied.

Medical office cleaning means cleaning services for medical office environments. It does not mean medical treatment, clinical care, infection-control certification for healthcare facilities, regulated medical waste handling, biohazard remediation, or any service requiring a specialized license unless specifically agreed in writing.

4. Service Area References and City Names

References to cities, counties, neighborhoods, school districts, government entities, landmarks, service areas, or surrounding communities are for geographic description only. They do not mean that IRONOVA is endorsed, sponsored, approved, certified, employed, contracted, or affiliated with that city, county, school district, government entity, property owner, landlord, facility, or organization unless we clearly state that relationship in writing and it is true.

Photos, skyline images, local-area references, maps, and location names may be used to show the general service area. They should not be understood as proof that IRONOVA services a specific building, has a contract with a specific public entity, or is affiliated with any city or government body.

5. Customer and User Submissions

When you submit information through the Website or send information to IRONOVA, you represent that the information is accurate, lawful, and submitted by someone authorized to act on behalf of the business, property, organization, or individual identified in the submission.

You agree not to submit false information, fake service requests, misleading reviews, confidential information you are not authorized to share, illegal content, malware, spam, abusive messages, or materials that violate the rights of another person or organization.

By submitting information, you give IRONOVA permission to use that information to respond to your request, evaluate the job, prepare a quote, communicate with you, schedule a walkthrough, perform administrative follow-up, maintain business records, and take reasonable steps connected to the requested service.

6. No Emergency Service or Hazardous Condition Reliance

The Website is not intended for emergency requests. Do not use the Website as your only method of communication for urgent safety issues, active leaks, fires, chemical spills, medical emergencies, hazardous material exposure, sewage backups, crime scenes, biohazards, or other time-sensitive emergencies. Contact appropriate emergency services, property management, building security, or qualified emergency-response providers.

IRONOVA may decline, pause, reschedule, modify, or price-adjust work if unsafe conditions, hazardous materials, bodily fluids, pests, mold, asbestos, lead, sharps, regulated waste, unknown chemicals, security issues, lack of utilities, lack of access, or other undisclosed conditions are present.

7. Quotes, Estimates, and Pricing

Pricing shown or discussed through the Website, emails, phone calls, or forms is not final unless confirmed in a written proposal, written agreement, or other written confirmation from IRONOVA. Actual pricing may depend on facility size, service frequency, scope of work, traffic level, restroom count, square footage, soil level, floor type, staffing requirements, supplies, consumables, parking, access, safety conditions, insurance requirements, after-hours requirements, and other site-specific factors.

IRONOVA may correct errors in pricing, service descriptions, availability, or other information. We may decline work that is outside our service area, outside our capabilities, unsafe, not commercially reasonable, or not aligned with our business requirements.

8. Customer Responsibilities for Accepted Work

For accepted work, the customer is responsible for providing accurate site information, authorized access, keys or access codes when applicable, alarm instructions, parking instructions, water and electricity when needed, notice of known hazards, and any building rules that may affect the work.

Customers are responsible for securing valuables, sensitive documents, weapons, medications, personal information, cash, confidential records, and fragile items before service. Unless a written agreement states otherwise, IRONOVA is not responsible for loss or damage caused by inaccurate information, unsecured valuables, pre-existing conditions, hidden defects, ordinary wear and tear, improper surfaces, customer-provided products, or conditions outside IRONOVA's control.

9. Intellectual Property

The Website, brand name, logo, design elements, written content, service descriptions, photos, graphics, icons, forms, layouts, and other materials are owned by IRONOVA or used with permission or license. You may view the Website for personal or internal business evaluation purposes only.

You may not copy, reproduce, modify, distribute, sell, scrape, frame, republish, upload, display, create derivative works from, or use Website content for commercial purposes without IRONOVA's written permission.

The IRONOVA name, logo, branding, and related marks may not be used in a way that suggests endorsement, affiliation, sponsorship, employment, approval, or partnership without written permission.

10. Photos, Before-and-After Images, and Portfolio Materials

IRONOVA may use photos, videos, graphics, or images that it owns, creates, licenses, or is otherwise authorized to use. Website images may be stock photography, staged photography, general facility images, project images, or service-area visuals.

IRONOVA will not intentionally present a customer's property, logo, personnel, private facility area, or testimonial as marketing content unless IRONOVA has appropriate authorization or the use is otherwise lawful. Customers and visitors may not reuse IRONOVA images or materials without permission.

11. Reviews, Testimonials, and Public Feedback

Reviews, testimonials, endorsements, case studies, and public feedback must be truthful and based on real experiences. IRONOVA does not authorize fake reviews, AI-generated fake testimonials, reviews from people who have not had a real experience with the Company, undisclosed insider reviews, or compensation in exchange for a positive or negative review.

IRONOVA may request honest feedback from customers. Any review request should be understood as a request for honest feedback, not a request for a specific rating or specific statement.

IRONOVA may display customer testimonials only when it has a reasonable basis to believe the testimonial is truthful and authorized. Results and experiences may vary by facility, scope, schedule, staffing, surface condition, traffic level, and customer requirements.

12. Communications

By submitting your phone number, email address, business information, or other contact information, you authorize IRONOVA to contact you about your inquiry, quote request, service request, job application, vendor inquiry, existing account, or related business matter.

IRONOVA may communicate by email, phone, voicemail, text message, or other reasonable business method. Marketing communications, if used, must comply with applicable law. You may ask us to stop sending nonessential marketing communications. Service-related or transaction-related communications may still be necessary for active requests, jobs, records, or legal obligations.

13. Third-Party Tools and Links

The Website may use or link to third-party platforms, tools, maps, forms, analytics, payment processors, scheduling tools, email systems, embedded content, job applications, or other websites. Third-party tools may have their own terms, privacy policies, data practices, security practices, cookies, or tracking technologies.

IRONOVA is not responsible for third-party websites, platforms, outages, policies, content, data practices, or services. You use third-party tools and websites at your own risk.

14. Website Availability and Security

IRONOVA may update, modify, suspend, remove, or discontinue all or part of the Website at any time. We do not guarantee that the Website will be uninterrupted, error-free, secure, current, compatible with every device, or free of viruses or harmful code.

You are responsible for using appropriate security measures when accessing the Website, including secure networks, updated browsers, antivirus protection, and reasonable caution when submitting information online.

15. Prohibited Use

You may not use the Website to interfere with its operation, attempt unauthorized access, collect data from other users, reverse engineer or scrape content, send spam, upload malicious code, impersonate another person, submit false information, violate another party's rights, or engage in unlawful, abusive, deceptive, or harmful conduct.

IRONOVA may block access, report misconduct, preserve records, or take other action when we believe Website misuse has occurred.

16. Disclaimers

The Website is provided on an "as is" and "as available" basis. To the fullest extent allowed by law, IRONOVA disclaims all warranties related to the Website, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, and security.

Website descriptions of cleaning, disinfecting, sanitizing, floor care, carpet care, pressure washing, restroom service, consumables, and related services are general descriptions only. They do not guarantee a specific result unless a written agreement clearly states the specific result and conditions.

Cleaning and disinfecting services reduce soil, debris, buildup, contaminants, or germs depending on the scope performed, but no Website statement should be read as a guarantee that all germs, bacteria, viruses, allergens, stains, odors, slip risks, contaminants, or hazards will be eliminated.

17. Limitation of Liability

To the fullest extent allowed by law, IRONOVA will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, business-interruption, data-loss, reputational, or similar damages arising from or related to your use of the Website.

For claims related only to Website use, and not to a separate written customer service agreement or other written contract, IRONOVA's total liability will not exceed one hundred dollars ($100) or the amount you paid directly to IRONOVA for Website access, whichever is greater.

Nothing in these Terms is intended to limit liability in a way that is prohibited by law, including liability that cannot legally be waived or limited.

18. Indemnification

To the fullest extent allowed by law, you agree to defend, indemnify, and hold harmless IRONOVA, its owners, managers, employees, contractors, agents, and representatives from claims, losses, damages, liabilities, costs, and expenses, including reasonable attorney's fees, arising from your misuse of the Website, your violation of these Terms, your submission of inaccurate or unauthorized information, your violation of another party's rights, or your unlawful conduct.

19. Written Agreements Control

These Terms apply to Website use. If IRONOVA and a customer, vendor, subcontractor, employee, applicant, or other party enter into a separate written agreement, that separate written agreement controls the services, work, payment, insurance, liability, dispute process, and other contract-specific terms for that relationship.

If these Terms conflict with a signed written agreement, the signed written agreement controls for the subject matter of that agreement.

20. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. To the fullest extent allowed by law, any dispute related to the Website or these Terms must be brought in the state or federal courts located in Tarrant County, Texas, unless another written agreement signed by IRONOVA states otherwise or applicable law requires a different venue.

21. Changes to These Terms

IRONOVA may update these Terms from time to time. The "Last Updated" date will show the most recent version. Continued use of the Website after updates means you accept the updated Terms.
